Mergers and Acquisitions in India: Theoretical Perspectives, Regulatory Framework, and Contemporary Challenges

| Abstract | Mergers and acquisitions (M&As) have emerged as important strategic mechanisms for corporate growth, market expansion, resource acquisition, and competitive advantage in the contemporary business environment. In India, the pace of M&A activity has accelerated significantly following the economic liberalization reforms of 1991, resulting in increased domestic consolidation, foreign investment, and cross-border corporate restructuring. Given the growing importance of M&As in shaping corporate strategy and economic development, it is essential to understand both the theoretical motivations underlying such transactions and the legal framework governing them. This paper provides a comprehensive review of the major theoretical perspectives explaining M&A activity, including Synergy Theory, Agency Theory, Resource-Based View, Transaction Cost Economics, Market Power Theory, Hubris Theory, and Institutional Theory. The study further examines the evolution of M&A activity in India and analyzes the regulatory architecture governing corporate combinations, including the Companies Act, 2013, Competition Act, 2002, Securities and Exchange Board of India (SEBI) regulations, Foreign Exchange Management Act (FEMA), Income Tax Act, 1961, and Insolvency and Bankruptcy Code, 2016. Additionally, the paper discusses significant judicial developments, regulatory challenges, and emerging issues associated with digital markets and cross-border transactions. The study concludes by highlighting future directions for strengthening India's M&A framework and promoting a more efficient, transparent, and globally competitive corporate restructuring environment. |
