The Digital Transformation of Corporate Governance: Opportunities, Risks, and an Integrated Governance Framework

Abstract Digital transformation is reshaping corporate governance by changing how organizations generate, process, communicate, and oversee information and make strategic decisions. Technologies such as artificial intelligence (AI), Big Data analytics, Blockchain, Cloud Computing, and automation increasingly influence board decision-making, internal control, risk management, corporate reporting, auditing, compliance, and stakeholder engagement. While these technologies can enhance transparency, monitoring, efficiency, and decision support, they also introduce emerging governance risks related to cybersecurity, data privacy, algorithmic bias, algorithmic opacity, accountability, technological dependence, and regulatory uncertainty. Against this background, this study systematically reviews the literature on the relationship between digital transformation and corporate governance, with particular emphasis on the opportunities, risks, and governance mechanisms associated with digitally enabled corporate governance. The review adopts a systematic literature review approach guided by the PRISMA framework and synthesizes the literature thematically across digital technologies, governance capabilities, governance mechanisms, opportunities, risks, and institutional responses. The findings indicate that digital transformation can facilitate real-time information, predictive risk identification, continuous monitoring, automated compliance, traceable records, improved internal control, and enhanced stakeholder engagement. However, the realization of these benefits depends on organizational digital capabilities, board digital competence, data governance, cybersecurity, human oversight, and the regulatory environment. Based on the synthesis, the study proposes an Integrated Digital Corporate Governance–Risk Framework that links digital technologies with governance capabilities, governance mechanisms, governance outcomes, and risk-related boundary conditions. The framework contributes to the literature by integrating the opportunity and risk dimensions of digital transformation within a unified corporate governance perspective. The study provides implications for boards, managers, auditors, regulators, and policymakers seeking to develop accountable, resilient, and ethically responsible digital governance systems.
